Terms of Service

By creating an account, accessing, or using ZenithNative (the “Service”), you agree to these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a business or other organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to that organization.

If you do not agree with these Terms, you may not use the Service.

To use most features you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at contact@zenithnative.com if you suspect any unauthorized use.

ZenithNative offers free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis through our payment provider.

Lemon Squeezy is our Merchant of Record.This means Lemon Squeezy handles payment processing, billing, and the collection of applicable taxes on our behalf. Your purchase is also subject to Lemon Squeezy’s terms. We do not store your full payment card details.

Subscriptions renew automatically at the end of each billing period unless cancelled. You can change or cancel your plan at any time from your dashboard; changes to monthly plans prorate, and cancellations take effect at the end of the current billing period. Prices may change with reasonable advance notice.

Every account starts with a 3-day free trial. A valid payment card is required at signup. During the trial you have full access to the Service, subject to the usage limits described on our pricing page.

Unless you cancel within the trial period, your trial automatically converts to a paid Starter subscription at $49/month on day 4, and your card will be charged at that time. If you cancel during the 3-day trial, you will not be charged. Once the trial converts, the standard subscription terms in Section 3 apply, including automatic renewal and cancellation taking effect at the end of the billing period.

You agree not to use the Service to:

• Send spam, unsolicited bulk messages, or any communication that violates anti-spam laws;
• Distribute illegal, harmful, fraudulent, or deceptive content;
• Harass, threaten, abuse, or harm others;
• Infringe the intellectual property, privacy, or other rights of any third party;
• Transmit malware, attempt to gain unauthorized access, or interfere with the Service's operation;
• Resell or sublicense the Service without our written permission.

We may suspend or terminate accounts that violate this policy.

ZenithNative uses artificial intelligence to draft and suggest replies, qualify leads, and summarize conversations. AI-generated output may contain errors or inaccuracies. You are solely responsible for reviewing, approving, and ensuring the accuracy and appropriateness of any AI-generated content before it is sent to your customers. We do not warrant that AI output is accurate, complete, or fit for any particular purpose.

As between you and us, you own the data about your end customers that flows through the Service (“Customer Data”). You grant us a limited license to process Customer Data to provide support, sales follow-up, CRM, automation, unified inbox, and AI reply features on your behalf. You are responsible for ensuring you have the necessary rights and consents to collect, connect communication channels, and process that data. Our handling of data is described in our Privacy Policy.

The Service can connect to third-party channels such as WhatsApp, Facebook Messenger, Instagram, email, and SMS/voice providers. These connections require your own accounts and credentials and are subject to those platforms’ respective terms and policies. We are not responsible for the availability, performance, or actions of third-party platforms, and your use of them is at your own risk.

You must only connect channels that you own or are authorized to manage, and you must comply with applicable consent, opt-out, and messaging rules for each channel.

The Service, including its software, design, and trademarks, is owned by ZenithNative and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of the content and Customer Data you provide. You may not copy, modify, reverse-engineer, or create derivative works of the Service.

We provide the Service on a commercially reasonable, best-effort basis. We do not offer an uptime service-level agreement (SLA) on the Starter or Growth plans. The Pro plan targets 99.5% monthly availability, excluding scheduled maintenance and events outside our reasonable control. We may modify, suspend, or discontinue features at any time.

You may cancel your subscription at any time from your dashboard; you will retain access until the end of your current billing period. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or use the Service in a way that creates risk or legal exposure for us or others. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

To the maximum extent permitted by law, ZenithNative and ZenithNative shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. The Service is provided “as is” and “as available” without warranties of any kind.

You agree to indemnify, defend, and hold harmless ZenithNative and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content or Customer Data, or your violation of these Terms or any applicable law or third-party right.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-app notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.
